How do I sell or transfer my intellectual property?

IP is transferred by a written assignment – a contract that moves ownership of a trade mark, patent, design or copyright from one party to another, often needing to be recorded at the relevant IP office too. Getting the assignment complete and properly recorded matters, or ownership can be left unclear. We draft, review and record IP assignments so the transfer is clean and effective.

What is an IP assignment?

An assignment is the legal document that transfers ownership of an IP right from one person or company to another – permanently, unlike a licence, which only grants permission to use it. It should identify the rights precisely, deal with past infringements and future recordal, and be signed correctly. We make sure assignments actually pass what the parties intend.

How do I value intellectual property for a sale?

IP value depends on factors like the strength and scope of the rights, the revenue they generate or protect, market position and remaining life. Valuation is part art, part evidence, and buyers will scrutinise ownership and validity closely. We help you get the rights in order and documented so they stand up in a sale and support the value you’re claiming.

What should I check before buying a business's IP?

Confirm the seller actually owns the IP and can transfer it; that it’s validly registered and maintained; that there are no disputes, licences or security interests over it; and that everything created by staff or contractors was properly assigned in. Gaps here can leave you paying for rights you don’t fully get. We run IP due diligence so you know what you’re buying.
